The agreement governing merchants, consumers, and flight operators using the SkyMesh Local aerial delivery marketplace.

1. Agreement to these Terms

These Terms & Conditions (the "Terms") govern your access to and use of the SkyMesh Local™ platform, websites, applications, dashboards, and related services (collectively, the "Platform"). By creating an account, listing inventory, placing an order, or accepting a flight assignment, you agree to be bound by these Terms.

If you use the Platform on behalf of a business, you represent that you are authorized to bind that business, and "you" refers to that business.

2. The Platform is a multi-sided marketplace

SkyMesh Local is software that connects three independent parties: local merchants who list goods, consumers who purchase them, and licensed regional drone (UAS) operators who fly delivery missions. SkyMesh Local is not a retailer, not a common carrier, and not an air carrier. We do not own, sell, inspect, or take custody of merchant goods, and we do not own or operate aircraft.

Contracts for the sale of goods are formed directly between the merchant and the consumer. Contracts for aerial transport are formed directly between the merchant and/or consumer and the assigned flight operator. SkyMesh Local provides the routing, deconfliction, verification, and record-keeping software that supports those relationships.

3. Merchant agreement

Merchants are solely responsible for the accuracy of listings, including weight, dimensions, price, stock, restricted-item status, and product safety and labeling. Merchants must not list items that are hazardous, illegal, regulated for air transport, perishable beyond safe flight time, or otherwise prohibited by applicable law.

Merchants must complete the Pack-to-Pod verification step for every dispatch, confirming payload balance and packaging type. A merchant that dispatches an unbalanced, unsecured, over-weight, or over-dimension payload assumes full responsibility for any resulting loss, damage, injury, or mission abort.

Eligibility limits: items must weigh 5.0 lbs or less and fit within 24 x 18 x 12 inches. The Platform automatically flags non-conforming items as ineligible; merchants may not attempt to circumvent those controls.

4. Consumer terms and drop zones

Consumers must designate an accurate drop zone, disclose overhead and ground hazards (including power lines, pools, trees, structures, animals, and people), and maintain a clear, lawful landing area that they own or have permission to use.

Consumers are responsible for keeping people, pets, and property clear of the landing area during approach and release. A delivery may be delayed, rerouted, or aborted at the operator's discretion for any safety reason.

Proof of delivery is completed with a one-time passcode and a downward-camera snapshot. Once payload release is confirmed, custody transfers to the consumer.

5. Flight operator obligations

Flight operators represent and warrant that they hold and maintain all required certifications, authorizations, waivers, registrations, and insurance for commercial unmanned aircraft operations in each area they serve, including all applicable FAA and state or local requirements.

Operators are solely responsible for airworthiness, crew qualification, pre-flight checks, airspace authorization, and compliance with all flight rules. Operators must record mission events accurately in the Platform's audit log.

6. Aerial delivery disclaimer and weather

Autonomous aerial delivery is inherently subject to weather, airspace, wildlife, radio interference, geofence restrictions, and equipment conditions. Delivery windows, ETAs, altitudes, and routes shown in the Platform are estimates generated by software and are not guarantees.

The Platform may pause, ground, delay, reroute, or abort deliveries at any time, including when wind or weather conditions exceed operational thresholds. No party is liable to you for a safety-driven pause, abort, or reroute.

7. Fees, subscriptions, and payments

Merchant membership is offered as a Charter (early) tier at $39.99 per month and a Standard (post-launch) tier at $79.99 per month, plus a per-transaction platform routing fee of $2.00 for each completed aerial dispatch. Charter rate locks apply to the account for the charter term as described at sign-up.

Subscriptions renew automatically until cancelled. Fees are non-refundable except where required by law. Payment processing is performed by our third-party payment processor, and you agree to their terms. Taxes are your responsibility unless stated otherwise.

8. Acceptable use

You may not misuse the Platform, including by scraping, reverse engineering, interfering with dispatch or deconfliction logic, falsifying safety attestations, spoofing coordinates, tampering with proof-of-delivery, or using the Platform to violate any aviation, export, consumer-protection, or privacy law.

9. Intellectual property

SkyMesh Local™, the SkyMesh Local marks, the Platform software, interfaces, documentation, and all associated intellectual property are owned by SkyMesh Local and its licensors. No license is granted except the limited, revocable, non-exclusive right to use the Platform as intended. White-label deployments are governed by a separate written agreement.

10. Disclaimers and limitation of liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYMESH LOCAL IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST GOODWILL, PROPERTY DAMAGE, OR PERSONAL INJURY ARISING FROM GOODS SOLD BY A MERCHANT OR FLIGHTS CONDUCTED BY AN OPERATOR. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNTS YOU PAID TO SKYMESH LOCAL IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Release and indemnification

You release SkyMesh Local from claims arising out of disputes between marketplace participants, including product defects, non-delivery, damage on landing, and operator conduct. You agree to indemnify and hold SkyMesh Local harmless from any third-party claim arising out of your listings, your goods, your flights, your drop zone, or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate access immediately for safety risk, suspected fraud, regulatory requirement, or breach of these Terms. You may cancel at any time; cancellation takes effect at the end of the current billing period.

13. Governing law and disputes

These Terms are governed by the laws of the state in which SkyMesh Local is organized, without regard to conflict-of-law rules. The parties will attempt good-faith resolution before initiating a claim, and disputes will be resolved in the courts or arbitral forum designated in your account agreement.

14. Changes and contact
